Any transaction involving securities, fundraising, or sale of a company must be executed by appropriate licensed intermediaries where required by law.
5. No Guarantee of Outcomes
Advisory services involve analysis, judgment, and forward-looking assumptions.
Trocadero does not guarantee:
Completion of transactions
Fundraising success
Valuation outcomes
Commercial results
Third-party decisions
All decisions remain the responsibility of the client.
6. Success Fees
Where an engagement agreement includes a success-based fee:
The percentage and calculation method will be defined in writing
The fee is payable only upon completion of the defined transaction
“Completion” means legally binding closing of the relevant transaction
Fees are due upon receipt of transaction proceeds by the client unless otherwise agreed
No success fee applies unless expressly agreed in writing.
7. Referral Arrangements
Where a referral arrangement exists:
It must be confirmed in writing prior to the engagement
Referral compensation applies only to success-based fees
Referral compensation is payable only after Trocadero has received the corresponding success fee
No compensation applies if no transaction completes
Trocadero reserves the right to decline any referral at its discretion.
8. Independence
Trocadero operates as an independent advisor.
Unless expressly agreed in writing:
No fiduciary relationship is created
No exclusivity is implied
Trocadero may provide services to other clients, including in similar sectors
9. Client Responsibility
Clients are responsible for:
Accuracy and completeness of information provided
Independent evaluation of recommendations
Seeking legal, tax, and regulatory advice where necessary
Trocadero may rely on information provided without independent verification unless otherwise agreed.
10. Confidentiality
Confidentiality obligations are governed by the relevant engagement agreement or separate NDA.
Website communications alone do not create confidentiality obligations unless explicitly agreed.
11. Intellectual Property
All website content, including text, structure, and materials, is owned by Trocadero unless otherwise stated.
You may not reproduce, distribute, or modify website content without prior written consent.
Deliverables created during engagements remain subject to the terms of the engagement agreement.
12. Limitation of Liability

Where liability arises under a signed engagement agreement, liability shall be limited to the total fees paid to Trocadero under that engagement, unless otherwise expressly agreed.
Nothing in these Terms excludes liability that cannot legally be excluded under Hong Kong law.

We do not guarantee uninterrupted or error-free operation of the website.

14. Governing Law
These Terms are governed by and construed in accordance with the laws of Hong Kong.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
